Terms of Service for AI Services

Welcome to Cozyla AI. We leverage Artificial Intelligence (AI) technologies to enhance your experience and provide best-in-class services. This document outlines the terms and conditions under which you may use our AI features, including the implications for your data and privacy.

Cozyla US Corp. (“Cozyla,” “we,” “us,” or “our”) provides device software and phone applications (“Software”) to set up, control, and operate the device and to deliver content and other types of services (the “Services” or the “Service”).

We provide the device software pre-installed on Cozyla products, while the user (“You”) will need to download the respective phone application from an application store, such as the Apple App Store for iOS users or the Google Play Store for Android users.

1. AI Service Description

Our AI services include, but are not limited to, intelligent chat interactions (“Cozyla AI”) and automated scheduling features. These services are designed to enhance user experience and productivity through the use of advanced AI technologies.

2. Third-Party AI Services

To provide you with exceptional enhancements, we partner with third-party AI service providers. Your text, images, voice messages, and associated data may be transmitted to these providers solely for the purpose of utilizing the AI services. We take measures to ensure these providers adhere to stringent data privacy and security standards.

Third-Party Services include:

Our Service allows you to post, link, store, share and otherwise make available certain information, text, voice recordings or other material (“Content”). You are responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness.

By posting Content on or through the Service, You represent and warrant that: (i) the Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and (ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. We reserve the right to terminate the account of anyone found to be infringing on a copyright.

You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights. We take no responsibility and assume no liability for Content you or any third party posts on or through the Service. However, by posting Content using the Service you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You agree that this license includes the right for us to make your Content available to other users of the Service, who may also use your Content subject to these Terms.

The Service has the right but not the obligation to monitor and edit all Content provided by users.

The Service may generate output based on Content you provide (“Output”). Provided you comply with these Terms, we hereby assign to you all our right, title and interest in and to the Output, including for commercial use such as sale or publication. We may use Content or Output to provide and maintain the Service, comply with applicable law, and enforce our policies. You are responsible for both Content and Output, including ensuring that it does not violate any applicable law or these Terms, among other things. Due to the nature of machine learning, Output may not be unique across users and the Service may generate the same or similar output for you or a third-party. Even similar or identical output generated for other users will not be considered your “Output.”

3. Data Processing

  • Transmission: Your data will be sent to third-party AI servers as required for processing.

  • Storage: We will not store your information on third-party servers any longer than necessary to provide the AI enhancements.

4. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with the Terms. You agree not to use the Service:

  • a. In any way that violates any applicable national or international law or regulation.

  • b. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.

  • c. To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.

  • d. To impersonate or attempt to impersonate Cozyla, a Cozyla employee, another user, or any other person or entity.

  • e. In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

  • f. To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm or offend Cozyla or users of the Service or expose them to liability.

  • g. To generate illegal or inappropriate content, including:

    • sexually explicit content, such as content related to sexual intercourse or sexual acts, sexual fetishes or fantasies, incest or bestiality, pornography, and content intended to elicit sexual arousal;

    • content promoting suicide or self-harm, bullying, humiliation, and/or other emotional harms;

    • content depicting animal cruelty or abuse, and/or other psychologically or emotionally harmful content;

    • content related to violent extremism, terrorism, or hateful conduct.

  • h. To create and disseminate deceptive or misleading information, such as:

    • engaging in fake online interactions (e.g., fake reviews, comments, or media);

    • engaging in or promoting academic dishonesty;

    • impersonating another person or organization without consent or legal authority;

    • representing output as human-generated when it is not.

  • i. To perform or facilitate the following activities, which may significantly impact the safety, well-being, or rights of others, including:

    • infringement, misappropriation, or violation of intellectual property or other legal rights (including the right of publicity);

    • making high-risk automated decisions in domains that concern an individual’s safety, rights, or well-being (e.g., law enforcement, migration, management of critical infrastructure, safety components of products, essential services, credit, employment, housing, education, social scoring, or insurance);

    • providing tailored legal, medical/health, or financial advice without review by a qualified professional and without disclosing the use of AI assistance and its potential limitations;

    • creating political campaigns or interfering in elections, such as generating campaign materials personalized or targeted to specific demographics;

    • facilitating real-money gambling, payday loans, title loans, or other high-interest, short-term lending practices that exploit vulnerable individuals;

    • using the Services to design, modify, construct, market or distribute weapons, explosives, dangerous materials, or any other systems designed to cause harm or take human lives;

    • using the Services to harm others or destroy property;

    • engaging in unauthorized activities that violate the security of any service or system.

Additionally, you agree not to:

  • j. Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party’s use of the Service, including their ability to engage in real time activities through the Service.

  • k. Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.

  • l. Use any manual process to monitor or copy any of the material on the Service, or for any other unauthorized purpose without our prior written consent.

  • m. Use any device, software, or routine that interferes with the proper working of the Service.

  • n. Introduce any viruses, Trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.

  • o. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.

  • p. Attack the Service via a denial-of-service attack or a distributed denial-of-service attack.

  • q. Take any action that may damage or falsify Company rating.

  • r. Otherwise attempt to interfere with the proper working of the Service.

5. User Responsibilities

  • Consent: By using our AI features, you consent to the processing of your data as outlined in these terms.

  • Data Accuracy: You are responsible for ensuring that the data you provide for AI processing does not violate any laws or the rights of others.

6. Intellectual Property

The AI technologies we utilize are protected by intellectual property laws. You may not reverse engineer, decompile, or disassemble the AI tools, nor attempt to extract the underlying code of the Software. Other than the access and use rights expressly granted in our Terms, our Terms do not grant you any rights, title, or interest in or to our Services.

7. Your Content Rights

  • A. Except as otherwise expressly provided in these Terms, you retain all rights, title, and interest—including all intellectual property rights—in and to your Prompts. You agree that your provision of Prompts does not violate these Terms or any other additional terms that apply to your use of the Service. You also represent and warrant that you have all rights, licenses, and permissions necessary to provide Prompts to our Services.

  • B. As between you and us, and to the extent permitted by applicable law, you own the Output. Subject to your compliance with our Terms, we hereby assign to you any of our rights, title, and interest in and to the Output. As you use the Services in accordance with these Terms, you grant us, to the extent permitted by law, a non-exclusive, worldwide, royalty-free, fully paid, transferable, sublicensable, perpetual, and irrevocable license to copy, display, upload, perform, distribute, transmit, make available, store, access, modify, commercialize, and otherwise use any Output you cause to be generated by the Services for any purpose in any form, medium, or technology now known or later developed, including but not limited to, (i) facilitating other users’ ability to generate Output, and (ii) advertising the Services.

  • C. Although we are not obligated to do so, we may review, screen, filter, edit, modify, and delete your Content at any time and for any reason, including to provide and develop the Services or if we believe the Content violates these Terms or any applicable law.

  • D. We will not train our models on content that is not publicly available, except in three exceptional cases:

    • The content is processed with secure encryption technology, strictly anonymized, and can no longer be attributed to a specific person. If you do not want us to use your content to train our models, you can object (opt-out) by contacting us using the details provided in the "Contact" section. Please note that in some cases, this may limit the ability of our services to better address your specific use case.

    • If you provide us with any feedback (through the Services or otherwise) about Content, you agree that we may use that feedback at our discretion and without any obligation or compensation to you.

    • If your content is flagged for a safety review, we may use or analyze that content to improve our ability to detect and enforce against activity that violates these terms, including training models.

8. Accuracy

Artificial intelligence and AI models are future technologies whose accuracy, reliability, and security are constantly being improved. By using our Services, you acknowledge and agree that:

  1. Outputs may not always be accurate or reflect correct, current, or complete information. You should not rely on the outputs of our Services as a sole source of truth or factual information or as a substitute for professional advice.

  2. You must review outputs for accuracy and appropriateness for your use case before using or sharing them, including, where appropriate, by human review.

  3. Outputs may not be unique due to the nature of our Services and artificial intelligence in general, and other users may receive similar outputs from our Services.

  4. Our Services may provide incomplete, erroneous, or offensive outputs that do not reflect our views. If outputs refer to third-party products or services, this does not mean that the third party endorses us or is affiliated with us.

  5. You – and not Cozyla – are responsible for your use of and/or any actions you take in reliance on Content generated by the Services based on your Prompts.

9. Our Rights

9.1. Our Use of Content

We may use Content and related information as described in these Terms and the Privacy Policy. This may be done in some cases through automated or manual (i.e., human) reviews, as well as by third-party providers:

  • a. To provide, maintain, and improve our Services, and to conduct and support research;

  • b. To monitor your use of our Services for compliance with these Terms and applicable laws, and to report violations of applicable laws or regulations if required by law or by a court order or government agency;

  • c. To remove unsafe, discriminatory, or other Content that violates these Terms or other applicable additional terms;

  • d. To suspend or remove accounts that violate these Terms in connection with your use of our Services.

9.2. Content Moderation

Our Services may block the upload of content or other information that violates these Terms or that is likely to lead to the creation of outputs that violate these Terms. Prompts, outputs, or feedback that violate these Terms may be removed.

Misuse of our Services, such as repeated attempts to generate prohibited content or other violations, may result in service or account suspension and service restrictions. You can report problematic or illegal content by contacting us.

9.3. Suspension and Termination

In addition to Section 9.2, we reserve the right to suspend or discontinue offering or supporting all or part of the Services at any time for any reason for some or all users. Subject to the requirements of applicable law, we may restrict, suspend, or terminate your use of the Services at any time without notice and for any reason, including (without limitation):

  • a. If you violate these Terms;

  • b. If we determine that we must do so to comply with the law;

  • c. If your use of our Services could pose a risk or harm to us, our users, or others;

  • d. If we suspect that you are engaged in fraudulent or illegal activities; or

  • e. If your account is suspended or closed by us or by you.

If you believe that we have incorrectly suspended or terminated your account, you may appeal to us in accordance with applicable laws and regulations.

11. Changes to AI Terms

We may update these AI Services Terms from time to time to reflect changes in technology, legal requirements, or our processing practices. We will notify you of any material changes.
